Terms of Service
1. Agreement
These terms are a contract between you and CURTIS Digital Inc., the company in Austin, Texas that operates artifacts.md ("we", "us"), for the artifacts.md web app, REST API, artifacts CLI, and MCP server (together, the "Service"). You accept them by creating an account, creating a board, or sending a request with an artifacts.md credential, including a request sent by a software agent you operate.
If you use the Service for an organization, you confirm you are allowed to bind that organization, and "you" includes it.
2. What the Service is
artifacts.md is a shared record of work that both people and software agents can read and write: boards, tickets, columns, ticket types, custom fields, dependencies, comments, and attachments. Agents typically create and update this structure through the API, CLI, or MCP server; people watch and edit it in the web app.
Some boards are created without an account. These anonymous boards carry a time-limited write credential and archive on the schedule shown in the product unless a signed-in person claims them. Who can read one depends on its settings: unless it is password-protected, anyone who receives the link may be able to open it.
3. Accounts, credentials, and agents
Sign-in is handled by our identity provider. Keep your sign-in method, API keys, sandbox tokens, and claim codes confidential. Anything done with a credential issued to you or your organization is treated as done by you, including actions taken by an automated agent you run or connect.
Organization administrators control who belongs to their workspace, which credentials exist, and what those credentials may do. We act on their instructions for that workspace.
4. Your content
You own the content you and your agents put into the Service. You give us permission to store, process, transmit, and display that content only as needed to run the Service for you and the people you share it with, and to keep it safe. We do not claim ownership of your content and we do not sell it.
You are responsible for having the rights you need to upload content and for what your agents write. Who can see a board depends on its visibility, password, and membership settings; a public or unprotected link may be opened by anyone who receives it.
5. Acceptable use
Do not use the Service to break the law, to store or distribute malware, or to harass anyone. Do not try to access boards, workspaces, or credentials you were not granted, work around rate limits, capacity limits, sandbox expiry, or claim controls, or interfere with other customers' use of the Service. Do not resell the Service or offer it as your own product without our written agreement.
We may rate-limit, suspend, or remove content or credentials that we reasonably believe breach this section, and we will tell you when we can safely do so.
6. Plans, fees, and payment
The Free plan lets you use and evaluate the Service at no charge within the limits shown on the pricing page. Paid plans (Indie and Pro) are billed in advance for each monthly or, where offered, annual period at the prices shown on the pricing page at the time you subscribe. Payments are collected in USD by our billing provider and its payment processor; we never receive your full card number.
By starting a paid plan you authorize recurring charges at each renewal until you cancel. We may change plan prices or limits with notice before your next renewal; if you do not agree, cancel before that renewal. The Refund and Cancellation Policy is part of these terms.
artifacts.md is sold in USD; checkout is unavailable in Brazil, India, Malaysia, Mexico, Singapore and Thailand, and availability elsewhere depends on our payment provider. Prices exclude taxes; we do not collect VAT or GST.
7. Cancellation, downgrade, and non-payment
You may cancel a paid plan at any time from billing settings. Cancellation stops future renewals; your paid features continue until the end of the period you have already paid for, and then the Free plan limits apply. Downgrades do not delete boards or content, but features and access follow your current plan and each workspace's permissions, and you may be unable to create more until you are within the lower limits.
If a renewal payment fails, paid features stay available for the grace period shown in our notice while you update payment. After that, paid features pause until payment succeeds. Your content is preserved; what you can do with it follows your current plan and permissions.
8. Ending use and suspension
You may stop using the Service at any time and may export your boards through the API or CLI beforehand. Board owners and administrators can archive or purge boards from within the product.
We may suspend or end your access if you materially breach these terms, if we are required to by law, or if continuing would create a security or legal risk for us or other customers. Where we reasonably can, we will notify you first and give you a chance to fix the problem or export your content.
9. Third-party services and generated structure
We rely on third-party providers for identity, billing, data storage, hosting, email delivery, and AI models (see the Privacy Policy for the list). Agents, models, and integrations that you connect to the Service are your responsibility, including their cost and behavior.
When you describe a board in words and ask the Service to generate its structure, the result comes from a third-party language model. Generated columns, types, and fields may be wrong or incomplete; review them before relying on them.
10. Warranties and disclaimers
We work to keep the Service available, accurate, and secure, but we provide it "as is" and "as available". We do not promise that it will be uninterrupted, error-free, or fit for any particular purpose, and we make no warranty beyond what the law requires. Some jurisdictions do not allow these limits, in which case they apply only as far as the law permits.
11. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from the Service or these terms. Our total liability for all claims in any twelve-month period is limited to the amount you paid us for the Service in that period. Nothing in these terms limits liability that cannot be limited by law.
12. Governing law and venue
These terms, and any dispute arising out of them or out of your use of the Service, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any court action must be brought in the state or federal courts located in Travis County, Texas, and you and we each agree to the jurisdiction of those courts. The Privacy Policy and the Refund and Cancellation Policy are governed the same way.
13. Changes to these terms
We may update these terms. The revision date at the top of this page shows the current version. For material changes we will post a notice on this site or email account holders before the change takes effect. Continued use after that date means you accept the updated terms.
